02Services
NinonepixGlobal Private Limited provides design, digital product, and technology services through its subsidiaries, including 91pixels. Specific deliverables, timelines, and fees for each engagement are defined in individual Statements of Work (SOW) or service agreements.
03Client Obligations
Clients agree to:
- Provide accurate project briefs, content, and approvals in a timely manner
- Ensure they hold rights to any materials supplied to us for use in projects
- Honour payment terms as agreed in the relevant SOW or invoice
04Intellectual Property
Upon receipt of full payment, intellectual property rights for final deliverables are transferred to the client as specified in the project agreement. All preliminary work, drafts, and proprietary processes remain the property of NinonepixGlobal Private Limited and its subsidiaries.
05Payment Terms
- Invoices are payable as per terms stated in the SOW or proposal
- Late payments may attract interest at 1.5% per month
- Work may be paused on accounts overdue by more than 14 days
- International payments are governed by RBI FEMA regulations (Purpose Code P0802)
06Limitation of Liability
To the maximum extent permitted by law, NinonepixGlobal Private Limited shall not be liable for indirect, incidental, or consequential damages. Our aggregate liability for any claim shall not exceed the fees paid by the client for the specific service giving rise to the claim.
07Confidentiality
Both parties agree to keep confidential any proprietary information shared during an engagement. This obligation survives termination of the service agreement.
08Termination
Either party may terminate an engagement with 14 days written notice. Fees for work completed up to the date of termination are payable in full. Deliverables produced up to that point shall be handed over upon clearance of outstanding dues.
09Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Kochi, Kerala, India. Parties agree to first attempt resolution through good-faith negotiation before initiating legal proceedings.
